LLC Registration in Armenia
The Armenian LLC is the default structure for foreign companies establishing permanent operations. The combination of same-day registration at the e-register.am platform, zero government fees, 100% foreign ownership permitted, and no minimum capital requirement is rare even among jurisdictions that actively recruit foreign investment. For most engagements where the client expects to operate in Armenia for more than 12–18 months, the LLC is the structure we recommend.

What you get with an Armenian LLC
The LLC is a separate legal entity. Founders are not personally liable for the LLC’s obligations. Foreign ownership is 100% permitted with no mandatory Armenian shareholder or local director. There is no minimum capital requirement. Registration is free at the State Register through the e-register.am platform.
The LLC can employ foreign and Armenian staff, sign contracts in its own name, hold bank accounts, lease real estate, sponsor work permits for foreign employees, and operate under any of the available tax regimes — including the IT-sector incentives, the Free Economic Zone regime where applicable, and the standard tax framework.
Registration mechanics
The State Register processes LLC registration in a single business day at e-register.am. The substantive documents required are the charter, founder identification, the proposed company name (which we clear in advance to avoid name-clash delays), the registered address, and the initial Tax ID registration. The work is digital; physical filings are not required for a standard LLC.
The Social Number, mandatory as of January 2026, is a separate registration step that we handle as part of the formation engagement. The Social Number ties the entity into the broader compliance and reporting framework — including the unified electronic employment contract platform that becomes mandatory for new contracts on the same date.
What the engagement actually delivers
A standard LLC formation engagement delivers the following over a one- to two-week elapsed window:
- LLC registered at the State Register with charter, founders, and registered address
- Tax ID registration
- Social Number registration
- Corporate bank account opened with an English-speaking banking partner
- Company seal procurement
- Legal address established (registered or virtual office, depending on the client’s preference)
- Initial accounting setup and chart of accounts
The bank account is usually the practical bottleneck rather than the State Register registration. Armenian banks have moved most onboarding to a documentary process that runs in days rather than weeks, but specific banks have different paperwork preferences for foreign-owned entities. After registration
Once the LLC is registered, the operational layer kicks in. Payroll, tax withholding, and employment contract drafting move to either an in-house finance function or to our EOR and payroll service. When the LLC is not the right answer
Three scenarios push toward a different structure.
First, market-entry deployments where the client is not yet ready to commit to a permanent Armenian operation. A Representative Office is often the cleaner answer because it allows on-the-ground presence without the operating commitment of an LLC.
Second, situations where the foreign parent wants to operate in Armenia under its own legal identity rather than through a separate Armenian entity. The Branch Office structure is designed for that case.

Can the LLC be 100% foreign-owned?
Yes. Armenia permits 100% foreign ownership of an LLC. There is no mandatory local shareholder or local director. All employees can be foreign nationals; there is no local-hire quota for the entity itself.

How fast is registration?

Are founders personally liable?
No. The LLC structure shields founders from personal liability for the entity's obligations, consistent with limited liability principles. This is one of the main reasons the LLC is the default structure for foreign companies — the branch office, by contrast, does not provide that shield because it is not a separate legal entity.
