Setting Up a Representative Office in Armenia
A representative office is the lightest-touch entity option in Armenia. It cannot conduct commercial activity directly. What it can do is represent the foreign parent entity’s interests in Armenia — carry out market research, build relationships, interact with government and counterparties, evaluate opportunities, and provide operational support for the parent — without taking on the full legal apparatus of a commercial operating entity. For some clients, that is exactly the right initial structure.
The representative office is one of three foreign-entity structures we work with regularly. What it is and what it is not
The representative office is a registered presence of the foreign parent in Armenia. It has a registered address, can hire staff, can interact with government and counterparties on the parent’s behalf, and is subject to Armenian regulatory oversight. It is not a separate legal entity — the parent remains the legal party — and it cannot conduct commercial activity directly.
The boundary is consequential. The representative office cannot sign customer contracts as the contracting party, issue invoices for goods or services delivered in Armenia, operate as a profit-generating entity, or function as the legal taxpayer for revenue-generating activity. Commercial activity requires a different structure — typically an LLC or, less commonly, a branch.
When the representative office is the right answer
Three patterns make the representative office the cleaner first structure.
Market research and pre-commercial positioning. When a foreign company wants on-the-ground presence in Armenia to assess the market, build counterparty relationships, and evaluate opportunities before committing to a full commercial operation, the representative office is the right container. It signals intent and seriousness without overcommitting to a structure that may need to be wound down later.
Government and counterparty relationship-building. For sectors where the relationship-building phase legitimately precedes commercial activity by months or years — major infrastructure work, regulated industries, sectors requiring government coordination — the representative office allows the relationship work to happen under a registered structure rather than informally.
Regional company entry. For regional companies — Azerbaijani, Georgian, Gulf-state, or Armenian-diaspora-connected firms — entering Armenia in the post-peace-process environment, the representative office is often the right first structure because the commercial relationship needs to be built before the operational entity is committed. The peace-process opportunity is what makes this category relevant in 2026 in a way it has not been historically.
The work-permit exemption
Staff of representative offices of foreign companies are an exempt category under the codified work-permit exemption framework. This is a structural advantage that is often the deciding factor on choosing a representative office over a branch for an early-stage deployment.
The exemption means that representative office staff do not need to go through the standard work permit and Temporary Residence Card application. They may still need to register for tax and social security depending on the specific employment relationship and duration, but the immigration friction is materially lower. This exemption is one of the main reasons we recommend the representative office for short-term, exploratory deployments rather than running the same employees through a full work permit application that may be unnecessary.
Setup mechanics
Representative office registration runs through a similar pathway to a branch office. The Armenian-side registration takes up to 10 days. The practical timeline is usually longer because the registration requires apostilled or legalized documents from the foreign parent — certificate of incorporation, articles of association, board resolutions authorizing the office establishment. Notarized Armenian translation runs alongside.

Transitioning from representative office to LLC
A common pattern is that a representative office begins as the entry structure and is later supplemented or replaced by a full LLC once the commercial activity becomes substantive. This is a clean structural progression — the representative office handles the relationship-building phase, the LLC takes over once revenue or contracting requires a commercial entity.
